Findra Terms of Use (EULA)

These Terms of Use ("Terms") are a legal agreement between you and Shanghai Umore Network Technology Co., Ltd. ("we," "us," or "our") for your use of Findra, a macOS file manager (Bundle ID: cc.umore.ifinder, the "App"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. The App

Findra is a local-first file management utility for macOS. It helps you browse, organize, and operate on files stored on your Mac using familiar Finder-style interactions, tabs, dual-pane layouts, shortcuts, and enhanced context menus.

2. License Grant

Subject to these Terms and your payment of applicable fees (if any), we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on Mac computers you own or control, solely for personal or internal business purposes.

You may not copy, modify, reverse engineer, decompile, rent, lease, sublicense, or distribute the App except as expressly permitted by law or these Terms.

3. Free and Pro Features

Free	Basic file browsing, tabs, sorting, hidden files toggle, standard file operations, and basic context menu actions.
Pro	Dual-pane workflow, enhanced context menu, advanced shortcuts, global hotkey (Visor), Enter App customization, and related Pro settings.

Feature availability may evolve across App updates. Free-tier capabilities will remain available without a Pro subscription.

4. Auto-Renewable Subscriptions (Pro)

Pro may be offered as an auto-renewable subscription through the Apple App Store. Current products include:

Actual price, currency, and tax are shown in the App Store at purchase time and may vary by storefront.

Payment: Charged to your Apple ID account at confirmation of purchase.
Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period.
Manage / Cancel: Open System Settings → Apple ID → Media & Purchases → Subscriptions (or App Store account settings) to manage or cancel.
Restore: Use Restore Purchases in the App (Settings → General → Subscription) on the same Apple ID.
Refunds: Handled by Apple under Apple Media Services Terms. We do not process App Store refunds directly.

Uninstalling the App does not cancel an active subscription.

5. No Account Required

The App does not require you to create an account to use core features. Subscription entitlements are validated on your device through Apple StoreKit.

6. Your Files and Responsibilities

You are solely responsible for files you access, modify, move, delete, or share using the App. We do not operate your file storage and are not responsible for data loss caused by your actions, third-party apps, or system failures. Maintain appropriate backups.

7. Acceptable Use

You agree not to use the App to violate applicable laws, infringe others' rights, distribute malware, or interfere with the App's normal operation.

8. Third-Party Services

The App may interact with macOS system services (file system, Quick Look, pasteboard, Apple Events) and apps you choose to open. Purchases are processed by Apple. Optional feedback submission may use our support API when you voluntarily submit feedback. See our Privacy Policy for details.

9. Intellectual Property

The App, including its design, code, trademarks, and documentation, is owned by us or our licensors and protected by applicable intellectual property laws. These Terms do not transfer any ownership to you.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING FROM YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR USD $50 IF NO FEES WERE PAID), EXCEPT WHERE LIABILITY CANNOT BE EXCLUDED BY LAW.

12. Termination

You may stop using the App at any time. We may suspend or terminate your license if you materially breach these Terms. Upon termination, your license ends, but sections that by nature should survive will remain in effect.

13. Changes to These Terms

We may update these Terms from time to time. We will revise the "Last Updated" date and, where appropriate, provide notice in the App or on our website. Continued use after changes become effective constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence apply. App Store purchases are also subject to Apple's applicable terms.
